These Terms of Use (hereinafter — the "Terms") govern access to and use of the information portal, including the related website and services (hereinafter — the "Platform"), and constitute a legally binding agreement between the limited liability company LLC Real Prices (hereinafter — the "Operator") and any person using the Platform (hereinafter — the "User").
By starting to use the Platform, the User confirms that they have read these Terms and the Privacy Policy, understand them, and accept them in full. If the User does not agree with these Terms, they must refrain from using the Platform.
2.1. The Platform is an information service that collects and aggregates information provided by Users about concluded real estate deals in Georgia. In addition to deal information, the Platform displays information about developers and their projects (residential complexes) associated with such deals, and maintains a showcase (directory) of realtors — natural and legal persons who post deal information.
2.2. The Platform is not a state register, an official database, or any other source having legal force, is not a real estate agency, and is not a party to any deals. Information posted on the Platform is provided for informational purposes only and does not constitute professional, legal, tax, or investment advice. Before making any financial or investment decisions, the User must independently verify the relevant information; use of the Platform's information is at the User's own risk. The Platform's information is not intended to be used as a basis for official valuation, expert assessment, or other legally significant decisions.
2.3. The Operator may at any time modify, restrict, suspend, or discontinue the Platform or any of its features without prior notice.
2.4. The Operator is not a tax agent for Users, for parties to deals, or for other persons connected with them, and does not participate in the discharge by anyone of tax or other public-law obligations. The discharge of tax obligations related to deals is the sole responsibility of the obligated persons; the Operator does not verify their compliance and bears no responsibility for it.
Use of the Platform is permitted subject to the User's simultaneous compliance with the following requirements:
3.1. having reached the age of majority and possessing the legal capacity necessary to enter into this agreement;
3.2. the absence of any restrictions on using the Platform under applicable law;
3.3. providing accurate and up-to-date information upon registration and keeping it current;
3.4. ensuring the confidentiality of the account access credentials; the User is responsible for all actions performed under their account.
3.5. By using the Platform, the User warrants that they meet the requirements set out in this section.
3.6. If the User uses the Platform on behalf of a legal entity (in particular, a real estate agency or a developer company), they warrant that they have the necessary authority.
3.7. The Platform does not provide self-service account deletion. To have their account deleted, the User must contact the Operator at hello@realprices.ge. The consequences of deletion for transaction information the User has posted are set out in clause 5.5.
4.1. User Content means any information and materials posted by the User on the Platform, including deal information, comments, and profile data (hereinafter — "User Content"). Certain types of User Content, in particular deal information, are subject to the additional rules set out in section 5.
4.2. By posting User Content, the User warrants that they have the right to publish it and that such publication does not violate the requirements of the law, the rights of third parties, or obligations assumed by the User.
4.3. The User posts User Content voluntarily, being aware that the posted information becomes publicly available. The User independently assesses the related risks and confirms their consent to the disclosure of such information.
4.4. Responsibility for posting User Content and for all consequences of its publication, including the disclosure of information that may be confidential, rests with the User who posted it. The Operator is not the initiator of the posting and bears no responsibility for the mere fact of the User's publication of the information.
4.5. By posting User Content, the User grants the Operator a perpetual, worldwide, royalty-free license to use, store, reproduce, process, aggregate, publish, and display such content for the purposes of the Platform's operation.
4.6. The Operator may process and aggregate the posted information, create analytical and statistical materials on its basis (including charts, reviews, and financial analytics of the real estate market), and use, publish, and distribute such materials, including on a paid basis. Such materials are provided in an anonymized and/or aggregated form and do not contain personal data. Analytical, statistical, and forecast materials (including yield indicators) are of an estimative nature, are based on available data, and do not constitute a guarantee of future results or an investment recommendation.
4.7. Realtors and agencies that post deals have public profiles on the Platform. By providing information about themselves in the profile (in particular, name, contact details, links to social networks, and other related resources), the User grants the Operator the right to store and display such information to visitors of the Platform.
4.8. The User is responsible for the accuracy of the information they post in the profile — in particular, the name, description, contact details (including phone numbers), links to social networks, and other information the User provides in the profile — and for ensuring that external links stated in the profile relate directly to them. In the event of a violation of these Terms, the Operator may suspend or block the User's account.
4.9. This clause applies to Users acting on the Platform as a realtor or a real estate agency. Such a User must be represented on the Platform under their true name and with their own profile image. A natural person states their true first and last name in accordance with an identity document and posts their own photograph; a legal entity (a real estate agency or a developer company) states its name as registered in Georgia, or its official brand name, and its own logo (trademark). The use of fictitious names or names, titles, and images belonging to others is not permitted.
4.10. Verification of a realtor confirms their personal and contact data, as well as the presence of a work permit (for foreign citizens) as of the moment it is carried out, and is not a guarantee of the realtor's good faith, the quality of the services they provide, or the outcome of interaction with them.
4.11. The User undertakes to keep the information stated in the profile up to date and to promptly notify the Operator of its change. In particular, a verified realtor must inform the Operator of any change to their personal data, as well as of the renewal, change, or termination of a work permit. The Operator is not obliged to track such changes on its own.
4.12. Verification is carried out at the User's request. In order to carry it out, the Operator may request an identity document, a work permit (for foreign citizens), and documents confirming the accuracy of individual deals, and may set a period for their provision. The information in the documents provided must correspond to the information stated in the profile. The Operator is not obliged to carry out verification where the requested documents are provided incompletely or after the period set.
4.13. The Operator may refuse verification or terminate a previously granted verified realtor status — in particular where the requested documents are not provided within the period set, where the information they contain does not correspond to the information in the profile, where a work permit has expired, or where inaccurate information is found in the profile — without disclosing the reasons for such a decision. A refusal or a termination of status does not limit the User's right to submit a verification request again; deal information posted earlier is retained.
Deals are a special type of User Content. In addition to the general rules of section 4, the provisions of this section apply to them.
For the purposes of these Terms, a deal means a real estate transaction that has actually taken place (been concluded). Sale or rental listings, commercial offers, property advertisements, and other information about unsold properties do not constitute deals and may not be posted on the Platform.
5.1. Deal information may be posted by: parties to the deal; independent realtors and real estate agencies handling the deal in question; and authorized representatives of developer companies — in respect of the projects of the relevant developer company. By posting deal information, the User warrants that they are entitled to disclose it, and in particular that the disclosure does not breach their confidentiality obligations towards the parties to the deal.
5.2. A posted deal appears in the Platform's register after it has been approved by the Operator; until a decision is made it is visible only to the User who posted it and to the Operator. In order to maintain the accuracy of the information, the Operator may at any time request from the User information about the deal and documents confirming the accuracy of the information entered.
5.3. If the accuracy of the deal has not been confirmed following verification (including where the requested documents are not provided within the period set by the Operator or do not correspond to the information entered), the Operator may unilaterally refuse to publish the deal or, where the deal has already been published, remove it from the Platform. In the event of repeated violations, the Operator may unilaterally suspend, block, or delete the User's account on the Platform, having notified the User of the measure applied and the grounds for it, except where the law requires otherwise.
5.4. In order to protect and not disclose personal data, the Operator does not store the personal data of buyers and sellers involved in a particular deal, nor information that allows the object of the deal to be uniquely identified (including cadastral codes and other similar identifiers). The personal data of buyers and sellers is not required in order to verify the accuracy of a deal: the User must redact or remove it from any document submitted to the Operator. The Operator may request information allowing the object of the deal to be identified solely to verify the deal's accuracy and does not retain it in the Platform's register upon completion of such verification.
5.5. Removal of a published deal at the initiative of the User who posted it is not provided for: the deal is retained in the Platform's register, including after the deletion of the User's account. At the User's request, the Operator may instead terminate the deal's association with that User — their name is removed from the deal, but the deal itself remains in the register and is displayed as posted by an anonymous user. A deal that has not been published in the Platform's register may be removed by the User who posted it.
5.6. The Operator does not carry out arbitrary editing or removal of information. Changing deal information, removing it, or restricting access to it is possible only where there are sufficient grounds, in particular:
The User may send the Operator a request to remove a deal; the Operator considers such a request and makes a decision at its discretion, taking into account the grounds specified above.
5.7. Deal information is removed or changed at the request of a developer or another person only upon submission of confirmation that the deal did not take place or that the information entered is inaccurate. Deal information may also be changed or removed at the substantiated request of a party to the deal where the deal was posted by a person not entitled to do so (clause 5.1) or in breach of confidentiality obligations towards that party. Where the deal did take place and the information is accurate, the Operator may, instead of removing it, terminate the deal's association with the User who posted it in accordance with clause 5.5.
5.8. The User may change the deal information they have posted, within the limits determined by the Operator. Such a change does not suspend the review of the deal and does not cancel a document request already sent.
Information about developers and their projects (residential complexes) is compiled and maintained by the Operator, including on the basis of information provided by authorized representatives of developers and/or publicly available sources. Such information is not User Content and is not edited by Users themselves.
An authorized representative of a developer may provide information about the developer and its projects, and send the Operator requests for its change, supplementation, or removal; changes are made by the Operator.
The said information is provided "as is", is of an informational nature, and the Operator does not guarantee its accuracy, completeness, or currency.
When using the Platform, the User is prohibited from:
7.1. violating applicable law, as well as the rights and legitimate interests of third parties;
7.2. posting knowingly false, misleading, or inaccurate information;
7.3. impersonating another person or misrepresenting information about their affiliation or authority;
7.4. carrying out scraping, crawling, or other automated collection of data, or creating derivative databases based on the Platform's information, without the Operator's prior written permission;
7.5. gaining unauthorized access to the Platform, to other Users' accounts, or to its infrastructure, or disrupting or destabilizing its operation;
7.6. carrying out automated collection of information about other Users without their consent;
7.7. posting malicious code, links to fraudulent, phishing, or other malicious resources, as well as content aimed at deceiving or harming other persons;
7.8. posting fictitious or duplicate deal information or otherwise distorting statistics, ratings, or verification results;
7.9. posting listings, sale or rental offers, property advertisements, or other information that does not relate to deals that have actually taken place, in the guise of a deal;
7.10. using information about other Users obtained through the Platform for purposes other than legitimate interaction — including for mailings, harassment, or transfer to third parties.
8.1. If the User discovers on the Platform content that they consider unlawful or infringing the rights of third parties (including intellectual property rights), they may report it to the Operator at hello@realprices.ge, attaching a description of the alleged violation. The Operator will consider the complaint within a reasonable period and will take measures in respect of such content if it finds the submitted evidence sufficient.
8.2. The Operator may disclose information about the User who posted the disputed content to the person claiming a violation of their rights, to the extent provided for by applicable law.
9.1. The Platform, including its content, design, software, and other elements (with the exception of User Content), belongs to the Operator and is protected by intellectual property law. The name and logos of the Platform are means of individualization of the Operator and may not be used without its prior written consent.
9.2. The User is granted a limited, revocable, and non-transferable right to use the Platform for personal, non-commercial purposes to the extent necessary for its ordinary use.
The Platform uses third-party services (including for authentication, hosting, and infrastructure operation) and may contain links to third-party resources, including those posted by Users. Use of such services and the following of such links are carried out at the User's risk and are governed by the terms and policies of the respective resources. The Operator does not control third-party services and resources and bears no responsibility for their content, security, operation, and availability, or for the consequences of following the posted links.
11.1. The Platform, the User Content posted on it, and other posted information are provided "as is" and "as available", without any warranties, express or implied, including warranties of fitness for a particular purpose and non-infringement. The Operator carries out selective checks of the posted User Content; however, due to its volume, it cannot guarantee the accuracy, completeness, and currency of all posted information at any given moment, including that a particular deal actually took place. Responsibility for posting inaccurate information rests with the User who posted it.
11.2. To the maximum extent permitted by applicable law, the Operator bears no responsibility for indirect, incidental, punitive, or consequential damages, including lost profits, loss of data, business reputation, or opportunities, arising from the use of or inability to use the Platform, reliance on the posted information, or the actions of third-party services.
11.3. The Operator bears no responsibility for technical failures, interruptions, and unavailability of the Platform, or for harm caused by malicious software, unauthorized access, attacks (including denial-of-service attacks), or the leakage or other disclosure of data caused by the actions of third parties or by infrastructure failures. The User should take reasonable measures to protect their devices, including using up-to-date antivirus software.
11.4. The Operator's aggregate liability for any claims related to the Platform is limited to the amount actually paid by the User to the Operator during the 3 (three) months preceding the arising of the claim, or, in the absence of such payments, to an amount equivalent to 100 (one hundred) US dollars.
11.5. The User undertakes to indemnify the Operator, as well as its officers, employees, and representatives, and to hold them harmless from any claims, demands, damages, and expenses (including reasonable legal fees) arising from the User's use of the Platform, the User's violation of these Terms or of the rights of third parties, or the posting of User Content.
11.6. The Operator is not a participant in relations between Users or between a User and third parties (including between a realtor or agency and their clients), does not participate in their negotiations and settlements, and bears no responsibility for the actions, omissions, and good faith of such persons. The User should exercise caution when interacting with other persons, should not transfer funds without properly executed documents, and, where there are signs of fraud, should contact the competent authorities.
11.7. The Operator does not guarantee that the User will obtain inquiries, clients, deals, commission, or any other commercial result from using the Platform, and bears no responsibility for the failure to obtain it — including where contact between Users or with third parties took place outside the Platform.
11.8. The Operator does not resolve disputes between Users, including disputes over the authorship or ownership of posted content (in particular, deal information); Users resolve such disputes on their own.
The Operator may at any time make changes to these Terms. Changes take effect from the moment they are posted on the Platform and the date at the end of the document is updated. Continued use of the Platform after the changes take effect means the User's acceptance of the updated Terms.
These Terms are governed by the laws of Georgia without regard to conflict-of-law rules. Any disputes related to these Terms or to the use of the Platform are subject to resolution exclusively in the courts of Georgia.
14.1. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions retain full force.
14.2. The Operator's failure to exercise any right does not constitute a waiver of it.
14.3. These Terms, together with the Privacy Policy, constitute the entire agreement between the User and the Operator regarding the Platform.
14.4. The User may not assign rights under these Terms without the Operator's prior written consent; the Operator may assign its rights without restriction.
14.5. The Operator bears no responsibility for non-performance or delay in performance due to circumstances beyond its reasonable control.
